We reserve the right to limit the sale of our products or the quantities purchased per person, household, or order, particularly during sales, promotions, or limited-quantity releases, and to refuse or cancel orders we reasonably believe were placed using automated means (such as bots or scripts) or for commercial resale rather than personal use. Products purchased from Yellow Box are intended for personal use and are not to be resold on a commercial basis without our prior written consent. Your receipt of an order confirmation does not constitute our acceptance of your order, nor does it guarantee product availability. If a product is listed at an incorrect price or with incorrect information due to a typographical, pricing, or other error, we reserve the right to refuse or cancel any order placed for that product, whether or not the order has been confirmed and your payment method charged. If your order is canceled after you have already been charged, we will issue a refund to your original payment method.

Section 6 — Accuracy of Billing and Account Information

We reserve the right to refuse or cancel any order. You agree to provide current, complete, and accurate purchase and account information for all purchases made on our site.

Section 7 — Account Registration

Certain features of the Service, including checkout, order tracking, and saved addresses, may require you to create an account. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

For orders shipped outside the United States, you are responsible for any customs duties, import taxes, brokerage fees, and other charges assessed by the destination country. These charges are not included in the purchase price or shipping cost and are collected separately by the carrier or customs authority. We are not responsible for delays caused by customs processing.

Section 11 — User-Generated Content

Reference to or use of hashtags on your social media posts regarding Yellow Box Corporation or any of our Yellow Box, Mellow Mat, or SPORTYB products or features (e.g., #yellowboxshoes, #ybx, #mellowmatsandals), as well as tagging your social media post with our handle, @yellowbox, grants us a royalty-free, perpetual, transferable, worldwide license to use, publish, and/or edit your post, in whole or in part, as we see fit. The same license grant applies to any reviews, photos, or other content you submit directly on our website, such as through a product review feature.

This includes, without limitation, your name, biographical information, and all other names, usernames, pseudonyms, text, likenesses, graphics, logos, marks, images, photographs, code, videos, clips, GIFs, moving images, and all other information and material you submit through either channel (individually and collectively, "UGC"). We have sole discretion to use your UGC on any media platform, for any purpose, including to advertise our products.

You represent and warrant that you own all rights in your UGC and/or have obtained the necessary rights from any person(s) identifiable in it. If anyone under the age of 18 appears in your UGC, you represent and warrant that you are their parent or legal guardian, or that you have obtained express consent from their parent or legal guardian for them to appear in the UGC and for our use of it. You further agree that your use, and our use, of your UGC does not infringe the rights of any third party or violate any applicable law or regulation.

You agree to indemnify and hold us harmless, and any person acting on our behalf, from any claims, demands, costs, liabilities, damages, and expenses (including reasonable legal fees) we may incur in connection with our use of your UGC.

If you would like us to stop using UGC you submitted, contact us at info@yellowboxshoes.com and we will make reasonable efforts to accommodate your request going forward.

We reserve the right to amend this User-Generated Content policy at any time; continued use of the hashtags or tagging referenced above after changes are posted constitutes your acceptance of the updated policy.

Section 12 — Intellectual Property Rights

Yellow Box owns all right, title, and interest in and to this website and its content, including our trademarks, trade names, logos, product designs, photography, and other brand assets (collectively, the "Yellow Box Marks"), whether registered in the United States or abroad. Nothing in these Terms grants you any license or right to use the Yellow Box Marks or any other content on this site, except as necessary to view and use the site for your own personal, non-commercial shopping. Any unauthorized use, reproduction, or exploitation of the Yellow Box Marks or site content is strictly prohibited.

Section 13 — Prohibited Uses

You may not use the site or its content for any unlawful purpose, to violate any regulations or laws, to infringe our intellectual property or that of others, to harass or discriminate against others, to transmit viruses or malicious code, or to interfere with the security of the Service.

You agree to indemnify and hold harmless Yellow Box and its officers, directors, employees, and agents from any claim arising out of your breach of these Terms or your violation of any law or third-party right.

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be severed without affecting the validity of the remaining provisions.

Section 17 — Dispute Resolution; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal resolution first. Before filing a claim against Yellow Box, you agree to first contact us at info@yellowboxshoes.com and describe the claim and the relief you are seeking. We will attempt in good faith to resolve the dispute informally for at least 60 days before either party files a lawsuit.

Class action waiver. To the fullest extent permitted by applicable law, you and Yellow Box agree that any claim will be resolved individually, and not as a class, consolidated, or representative action, and each of us waives any right to a jury trial.

Time limit to bring claims. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or relating to your use of the Service or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

This section survives any termination of these Terms.

Section 18 — Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

Yellow Box SMS Messaging Program Terms

The Yellow Box mobile message service (the "Service"), including SMS/text messaging, is operated by Yellow Box Corporation ("Yellow Box," "we," "us," or "our"). Your use of the Service constitutes your agreement to these terms (the "Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time, and your continued use of the Service following the effective date of any changes constitutes your acceptance of those changes.

By consenting to Yellow Box's SMS/text messaging program, you agree to receive recurring autodialed marketing and informational messages from and on behalf of Yellow Box through your wireless provider to the mobile number you provided, even if that number is registered on any state or federal Do Not Call list. Messages may be sent using an automatic telephone dialing system or similar technology.

• Informational messages may include order confirmations, shipping and delivery updates, and account alerts.

• Promotional messages may include promotions, cart reminders, flash sales, and back-in-stock alerts.

You do not have to sign up for this program to make a purchase, and your consent is not a condition of any purchase with Yellow Box. Participation is completely voluntary.

We do not charge for the Service, but you are responsible for any charges and fees your wireless provider imposes for text messaging. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider with questions.

You may opt out of the Service at any time. Text the keyword STOP to the number the message was sent from, or click the unsubscribe link (where available), to cancel. You will receive a one-time confirmation that you have been unsubscribed, and no further messages will be sent unless you opt back in. Text HELP to the number the message was sent from, or email us at info@yellowboxshoes.com, for support with the Service.

We may change any short code, long code, toll-free number, or sender ID we use to operate the Service at any time and will attempt to notify you of the change. Wireless carriers are not liable for delayed or undelivered messages. To the extent permitted by applicable law, Yellow Box is not liable for failed, delayed, or misdirected delivery of any information sent through the Service.
